These Terms of Service (the "Terms") govern your access to and use of Coshe (the "Service"). Please read them carefully. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing, signing in to, creating an account on, or otherwise using Coshe, you ("you" or "User") agree to be bound by these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you personally and that entity.

Coshe ("Coshe", "we", "us", or "our") is operated as a sole proprietorship by an individual operator based in Hong Kong SAR. The operator may transfer the operation to a corporate entity in the future; we will update this section accordingly when that occurs.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. If there is any conflict between these Terms and our Privacy Policy with respect to the handling of personal information, the Privacy Policy controls.

2. Eligibility

You must be at least 16 years old to use Coshe. You must also have the legal capacity to enter into a binding agreement under your applicable jurisdiction.

You represent that you are not located in, under the control of, or a national or resident of any country or region subject to U.S. or other applicable government sanctions, including but not limited to Cuba, Iran, North Korea, Syria, Crimea, Donetsk, and Luhansk. You also represent that you are not on any list of restricted parties maintained by the U.S. Office of Foreign Assets Control (OFAC) or equivalent authorities.

If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms.

3. Description of the Service

Coshe is a general-purpose AI-powered data extraction tool. You provide source files (PDF, Word, Excel, images, CSV, etc.) and a target Google Sheet; Coshe sends your files and extraction prompts to a third-party AI provider, parses the response, and writes the extracted data back to your Sheet.

Coshe acts as a technical conduit between you and the underlying AI provider. We do not curate, endorse, or take responsibility for the content of the files you upload or the data extracted by the AI.

These Terms cover coshe.app, my.coshe.app, and any related Coshe-branded services. They do not cover the Coshe browser extension, which will be governed by a separate policy when available.

We may modify, suspend, or discontinue any feature of the Service at any time. We will provide reasonable notice before any material removal of functionality, except where the change is required for security, legal, or operational reasons.

4. Account & Authentication

Coshe accounts are created and accessed exclusively through Google OAuth. There is no separate sign-up or sign-in flow; using Coshe with a Google account that has not previously been used will automatically create a new account.

You are responsible for all activity that occurs under your account. You agree to maintain the security of the Google account associated with Coshe and to notify us promptly at support@coshe.app if you suspect unauthorized access.

Accounts are personal to you and may not be transferred, sold, or shared with any third party without our express written consent. You agree to provide accurate information and to keep your account information up to date.

5. Your Content & License Grant

You retain all ownership rights and intellectual property rights in the files, prompts, sheet headers, and other content you submit to the Service ("Your Content").

License grant. You grant Coshe a limited, non-exclusive, royalty-free, worldwide license to host, store, transmit, and process Your Content solely to the extent necessary to provide the Service to you, including transmitting Your Content to our current AI provider for the specific extraction task you submitted and writing the extracted results back to your designated Google Sheet.

This license does not authorize Coshe to use Your Content for training AI models, profiling, advertising, analytics, or any secondary purpose. Beyond fulfilling the specific task you submit, we do not analyze, profile, or otherwise repurpose Your Content for advertising, training, or any other secondary use. This commitment is consistent with the representations in our Privacy Policy §4.

License term. The license terminates with respect to uploaded source files when those files are deleted from our object storage in accordance with our automated lifecycle policy (approximately 36 hours after upload, as described in our Privacy Policy §8). Task metadata and extracted results remain subject to the license until you delete the task or your account.

Your representations. By submitting Your Content, you represent and warrant that:

(a) you own Your Content or have all necessary rights, licenses, consents, and permissions to submit it to the Service and to a third-party AI service for processing; (b) Your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights; (c) Your Content does not violate any applicable law or contractual obligation, including any duty of confidentiality; and (d) Your Content does not fall within the categories described in our Privacy Policy §13 ("Sensitive Information You Should Not Upload"), including without limitation HIPAA-protected health information, payment card data within PCI scope, government-classified material, GDPR Art. 9 special-category data, or information subject to a legal duty of confidentiality.

You bear sole responsibility for the legality and propriety of Your Content. We may, but are not obligated to, review or remove Your Content that we reasonably believe violates these Terms or applicable law.

6. AI Output

To the maximum extent permitted by applicable law and the terms of our AI provider, Coshe assigns to you all rights it may have in the data extracted by the AI from Your Content ("Output"). Output is yours to use, modify, distribute, and exploit commercially, subject only to the restrictions in these Terms (including the Acceptable Use Policy in §7) and applicable law.

Accuracy disclaimer. AI models generate output probabilistically and may produce results that are inaccurate, incomplete, biased, or unsuitable for your particular use case. You are solely responsible for reviewing and verifying any Output before relying on, publishing, or acting upon it. Coshe makes no warranty as to the accuracy, fitness, completeness, or merchantability of Output.

AI provider. Output is generated by the AI provider we engage at the time. Our current LLM provider is Google Gemini, accessed through Google Cloud's paid API. Once Your Content reaches the AI provider, its handling is governed by that provider's terms and our Privacy Policy. We may engage additional AI providers in the future and will update our Privacy Policy and Subprocessor list accordingly.

No misrepresentation. You may not represent Output as being authored by a human person, present Output as authoritative without disclosing AI involvement where such disclosure is required by applicable law (for example, AI transparency rules), or use Output to impersonate, defame, or mislead any individual or entity.

7. Acceptable Use Policy

You agree not to do, attempt to do, or permit any third party to do any of the following:

  1. Violate law or third-party rights. Violate any applicable law or any third-party right (intellectual property, privacy, publicity, contractual, or otherwise).

  2. Reverse engineer. Reverse engineer, decompile, scrape, or otherwise attempt to derive the source code, models, or underlying algorithms of the Service.

  3. Interfere with the Service. Interfere with the availability, integrity, or security of the Service, including via DDoS attacks, vulnerability scanning, rate-limit circumvention, or unauthorized access to systems or data.

  4. Transmit malicious code. Upload or transmit malicious code, viruses, ransomware, or any other harmful content.

  5. Abuse limits. Abuse the Service, the API, or any usage limits, including by exceeding documented rate limits or making automated requests in volumes inconsistent with normal individual usage.

  6. Misuse accounts. Resell or commercially redistribute the Service, impersonate any person or entity, or create multiple accounts for the purpose of circumventing trial limits, plan limits, or any other restriction.

  7. Misuse trademarks. Use Coshe's name, logo, or trademarks without our prior written consent, or in a manner that is misleading or that damages our reputation.

  8. Upload unauthorized content. Upload content that you do not own or for which you do not have all necessary rights to submit to a third-party AI service for processing.

  9. Upload prohibited categories. Upload content within the categories described in our Privacy Policy §13 ("Sensitive Information You Should Not Upload"), including HIPAA-protected health information, payment card data within PCI scope, government-classified or export-controlled material, GDPR Art. 9 special-category data, or information subject to a legal duty of confidentiality.

  10. Generate harmful AI output. Use the Service or its Output to generate, assist in generating, or distribute: deepfakes of real persons; phishing or fraudulent content; harassment, bullying, or threats; deliberate disinformation; unauthorized professional advice (legal, medical, financial); or any content that violates applicable law.

Consequences. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund and, where appropriate, reporting to law enforcement or other authorities.

8. Subscriptions, Billing & Refunds

Subscription model. Coshe offers paid subscriptions on monthly or annual cycles, depending on the plan you select. Subscriptions automatically renew at the end of each cycle until canceled. Prices are locked in at the time of subscription and apply to the current cycle.

Cancellation. You may cancel your subscription at any time through the Stripe Customer Portal accessible from your account settings. Cancellation takes effect at the end of the current billing cycle; the Service remains available, and your remaining credits remain usable, until that point. After the cycle ends, your subscription status changes to "canceled" and any remaining credits are reset to zero.

Refunds. All fees are non-refundable, except as required by applicable law. Unused credits at the end of a billing cycle have no cash value and are not refundable.

EU/UK cooling-off waiver. If you are an EU or UK consumer, you ordinarily have a 14-day right of withdrawal from a digital service subscription. By creating a paid subscription, you confirm that you want immediate access to the Service and expressly waive your 14-day right of withdrawal to the maximum extent permitted by applicable law. You acknowledge that, because the Service is a digital service that begins immediate performance upon subscription, this waiver applies once you start using paid features.

Price changes. We may change subscription prices from time to time. We will provide at least 30 days' advance notice via email and in the Service before any price change takes effect. Price changes apply to your next renewal cycle; you may cancel before the change takes effect to avoid the new price.

Failed payments. If a payment attempt fails, our payment processor (Stripe) may automatically retry the charge in accordance with its standard retry sequence. If payment cannot be collected, your account may be downgraded to "past due" status and, after Stripe's standard retry sequence completes, may be canceled. You remain responsible for all amounts due.

Taxes. Listed prices do not include taxes. You are responsible for any applicable VAT, GST, sales tax, or other taxes imposed by your jurisdiction, which may be added to your invoice and collected by our payment processor.

Disputed charges. If you believe a charge is incorrect, contact us at support@coshe.app within 60 days of the charge. Initiating a chargeback through your payment provider without first contacting us in good faith may be treated as a violation of these Terms and may result in immediate account termination.

9. Trial Credits

Coshe may offer trial credits to new accounts at our sole discretion. Trial credits are: (a) provided free of charge; (b) non-transferable; (c) non-refundable; (d) usable only for the purpose of evaluating the Service; and (e) subject to expiration as described in the Service.

Abuse of trial credits — including but not limited to creating multiple accounts to obtain additional trial credits, as prohibited by §7(6) — may result in immediate account termination and forfeiture of any unused credits, without notice or refund.

10. Termination & Suspension

Termination by you. You may cancel your subscription at any time as described in §8. To delete your account entirely, contact us at support@coshe.app; account deletion is currently handled manually and is governed by our Privacy Policy §11.

Termination or suspension by us. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, for any of the following reasons:

  1. You violate these Terms (including the Acceptable Use Policy in §7) or any applicable law.
  2. Your payment fails and is not cured within Stripe's standard retry sequence.
  3. Your account has been inactive for at least twelve (12) consecutive months; we will provide email warning at least 30 days before clearing such accounts.
  4. Coshe ceases to offer the Service. In this case, we will provide at least 30 days' advance notice and refund any prepaid, unused subscription fees on a pro-rata basis.

Termination for cause (categories 1 and 2 above) does not entitle you to a refund of any fees paid. Your data may be retained or deleted in accordance with our Privacy Policy §8 after termination.

Survival. Sections that by their nature should survive termination — including §5 (Your Content & License Grant, with respect to retained metadata), §13 (Intellectual Property), §14 (Disclaimer of Warranties), §15 (Limitation of Liability), §16 (Indemnification), §17 (Governing Law & Disputes), and §20 (Miscellaneous) — will survive termination of these Terms.

11. Service Availability ("AS IS")

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Service will be uninterrupted, secure, error-free, or available at any particular time, percentage of uptime, or service level. We do not provide a Service Level Agreement (SLA) unless explicitly agreed in writing.

We may perform maintenance, modify, suspend, or discontinue any feature of the Service at any time. We may also be impacted by changes in third-party services we depend on (Google APIs, Stripe, AWS, AI providers); we do not guarantee continued support for any specific third-party integration.

12. Third-Party Services

The Service integrates with third-party services including but not limited to Google (OAuth, Sheets API, Drive API, Gemini API), Amazon Web Services, MongoDB Atlas, Stripe, Google Analytics, and Microsoft Clarity. These third-party services are governed by their own terms of service and privacy policies, which apply in addition to these Terms.

We are not responsible for the availability, accuracy, security, or terms of any third-party service. Changes to, suspension of, or termination of any third-party service may affect Coshe's functionality, and we are not liable for resulting disruption.

A current list of third-party subprocessors is maintained at coshe.app/privacy/subprocessors.

13. Intellectual Property

Coshe's IP. Coshe and its licensors retain all right, title, and interest in and to the Service, including all software, designs, user interfaces, trademarks, service marks, logos, and documentation. Except for the rights expressly granted to you in these Terms, no rights are transferred to you.

Trademarks. "Coshe", the Coshe logo, and other Coshe trademarks are the property of the operator. You may not use them without our prior written consent, including in any manner that suggests endorsement, sponsorship, or affiliation that does not exist.

Feedback. If you submit feedback, ideas, or suggestions about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, and incorporate the Feedback into the Service or our other products without compensation or attribution.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Coshe disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranties arising from a course of dealing or trade practice.

Without limiting the foregoing, we make no warranty that:

(a) Output will be accurate, complete, or suitable for any purpose; (b) the Service will meet your specific requirements; (c) defects in the Service will be corrected; or (d) the Service or its servers are free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the foregoing exclusions apply to the maximum extent permitted by law.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

(a) Excluded damages. In no event will Coshe be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost data, business interruption, or loss of goodwill, even if Coshe has been advised of the possibility of such damages.

(b) Aggregate cap. Coshe's total cumulative liability arising out of or relating to these Terms or the Service, regardless of the form of action and whether in contract, tort (including negligence), strict liability, or otherwise, will not exceed the greater of (i) the total fees you paid to Coshe in the twelve (12) months preceding the event giving rise to the claim, or (ii) USD 25.

(c) Mandatory law carve-out. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, our liability is limited to the smallest amount permitted by applicable law. Nothing in these Terms limits or excludes liability that cannot be limited or excluded by applicable law (for example, liability for fraud, gross negligence, or death or personal injury caused by negligence in jurisdictions where such limitation is prohibited).

16. Indemnification

You agree to indemnify, defend, and hold harmless Coshe and its operator, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:

(a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your violation of any third party's rights, including intellectual property, privacy, publicity, or contractual rights; or (d) any representation or warranty by you under these Terms that proves to be false or misleading.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense at your expense.

17. Governing Law & Disputes

Governing law. These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws principles.

Forum. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation will be subject to the exclusive jurisdiction of the courts of Hong Kong.

Pre-suit negotiation. Before initiating any legal proceeding, you agree to first contact us at support@coshe.app with a written description of the dispute and to engage in good-faith negotiation for at least thirty (30) days. Most disputes can be resolved at this stage.

Mandatory consumer law. If you are a consumer resident in a jurisdiction whose mandatory consumer protection law would otherwise apply, nothing in this section deprives you of the protection of those mandatory rules. However, this does not change our governing law or forum selection except to the extent required by such mandatory rules.

Optional arbitration. Either party may, at its option, elect to resolve any dispute by confidential binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of submission. This is an optional alternative; neither party is required to arbitrate.

18. Notices

We may give you notice by: (a) email to the address associated with your account; (b) in-product banner or notification; or (c) posting on coshe.app or my.coshe.app. Any of these is effective when sent or posted.

You may give us notice by email to support@coshe.app. Notices for legal proceedings should be sent to the same address.

19. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision.

If we make material changes (such as changes to your rights, our liability, or pricing structure), we will provide reasonable advance notice via email and in the Service before the changes take effect. Non-material changes (typo corrections, restructuring, clarifications) will be reflected on this page without separate notification.

Your continued use of the Service after the effective date of an updated version of these Terms constitutes your acceptance of the updated version. If you do not agree, you must stop using the Service before the effective date.

20. Miscellaneous

Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy and any plan-specific pricing terms in effect at the time of your subscription, constitute the entire agreement between you and Coshe regarding the Service and supersede all prior or contemporaneous communications, whether written or oral.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later. A waiver of any provision is effective only if in writing and signed by us.

Assignment. You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. Any attempted assignment in violation of this section is void. Coshe may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets, or to any affiliate.

Language. These Terms are made in English. Any translation provided is for convenience only; the English version controls in case of any conflict.

Force majeure. Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, riots, pandemics, government actions, internet disruptions, or third-party service failures.
